BasicCRM Terms of Service

These terms are an agreement between you and Spottsco LLC ("Spottsco," "BasicCRM," "we," "us"), the company that operates BasicCRM at https://basiccrm.io. They cover your use of the BasicCRM website, app, Gmail add-on, and connector for AI assistants (together, the "Service").

If you use BasicCRM for a company or other organization, you agree to these terms on its behalf and confirm you have authority to do so. In that case, "you" means both you and that organization. If you do not agree, please do not use the Service.

1. Who we are

2. The Service

BasicCRM is a simple CRM for small B2B teams on Google Workspace and Gmail. It stores contacts, companies, deals, and activity for your team, and logs the email you choose to log. We may improve, change, or retire features over time. If we remove a feature you rely on in a significant way, we will try to give you reasonable notice.

Our Privacy Policy explains how we handle information, including Google user data. It is part of these terms.

3. Accounts and workspaces

• You sign in with a Google account using a work email address. The first person from a company's email domain creates that company's workspace and becomes its owner. Others join by invitation.
• You must be at least 16 years old and able to form a binding contract.
• Keep your Google account secure. You are responsible for activity under your account, including activity by AI assistants or API keys you connect.
• Workspace owners control who is invited and are responsible for their team's use of the workspace. Only an owner can delete a workspace.
• Tell us right away at support@basiccrm.io if you believe your account has been used without permission.

4. Your data

• You own your data. The contacts, companies, deals, notes, email, files, and other content your team puts into BasicCRM ("Customer Data") belong to you or your organization.
• Our permission to use it is limited. You give Spottsco permission to host, store, copy, process, and display Customer Data only as needed to provide, secure, and support the Service for you, and as required by law. We do not sell your Customer Data or use it for advertising.
• Your responsibilities. You are responsible for your Customer Data and for having the right to collect, store, and use it, including any personal information about your contacts, and for following the laws that apply to you (for example, anti-spam and privacy laws).
• Export. You can export your records as CSV at any time from Settings.
• Feedback. If you send us ideas or suggestions, we may use them without obligation to you.

5. Acceptable use

Please use BasicCRM for its intended purpose. You agree not to:

• Break the law or violate anyone's rights, including privacy and intellectual property rights.
• Send spam or unsolicited bulk email, or use BasicCRM to harass anyone.
• Upload malware or content you have no right to share.
• Try to access another workspace, another person's account, or parts of the Service you are not authorized to use, or probe, scan, or test its vulnerabilities without our written permission.
• Overload, disrupt, or interfere with the Service, including by exceeding rate limits or automated scraping.
• Resell, sublicense, or reverse-engineer the Service, except where the law allows it.
• Use the Service to build a competing product.

We may suspend or limit access to a workspace that violates these rules or puts the Service or other users at risk. Where reasonable, we will tell you first and give you a chance to fix the problem.

6. Free trial

New workspaces get a 10-day free trial. No fees are charged during the trial. To keep using the Service after the trial, you must subscribe to a paid plan. Spottsco may change or end trial offers for future sign-ups.

7. Subscriptions, billing, renewal, and cancellation

Paid plans are not live yet. When they are:

• Price. BasicCRM costs $19 per user per month, or $15 per user per month billed annually ($180 per user per year). Prices do not include taxes, which may be added where required.
• Billing. Fees are billed to the workspace, in advance, through our payment processor (such as Stripe). You authorize us and the processor to charge your payment method for the fees and taxes due.
• Users. Fees are based on the number of users in the workspace. If you add users during a billing period, we may charge a prorated amount for them.
• Automatic renewal. Subscriptions renew automatically at the end of each monthly or annual term, at the then-current price, until you cancel.
• Cancellation. You can cancel at any time, effective at the end of the current billing period. You keep access until then. Except where required by law, fees already paid are not refundable, including for partial periods.
• Price changes. We will give you at least 30 days' notice before a price change takes effect. The new price applies at your next renewal.
• Late payment. If a payment fails, we may suspend paid features after giving you notice and a reasonable chance to update your payment method.

Until a paid subscription is turned on for your workspace, these terms still apply to your use of the Service.

8. Third-party services

BasicCRM works with services we do not control, including Google (sign-in, Gmail, and the Gmail add-on), our payment processor (such as Stripe), and any AI assistants you choose to connect. Your use of those services is governed by their own terms and privacy policies. We are not responsible for them, and changes they make (for example, to Google's APIs) may affect BasicCRM features.

9. Our intellectual property

Spottsco owns the Service, including its software, design, and the BasicCRM name and logo. These terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is in good standing. They do not give you any other rights in it.

10. Availability

We work to keep BasicCRM available and reliable, but we do not promise it will always be available, uninterrupted, or error-free. Planned maintenance or problems with our providers may cause downtime. Email logging depends on third parties and on mail reaching your logging address, so we do not guarantee that every message will be logged.

11. No warranty

The Service is provided "as is" and "as available." To the fullest extent the law allows, Spottsco disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You are responsible for keeping any copies of your data you need.

12. Limitation of liability

To the fullest extent the law allows:

• Spottsco will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if we were told they were possible.
• Spottsco's total liability for all claims relating to the Service or these terms is limited to the amount you paid us for BasicCRM in the 12 months before the event giving rise to the claim. If you have not paid anything, our total liability is limited to $100.

Some places do not allow these limits, so they may not fully apply to you.

13. Indemnity

You agree to defend and indemnify Spottsco, and its owners and contractors, against claims, damages, and costs (including reasonable legal fees) brought by third parties that arise from your Customer Data, your violation of these terms, or your violation of law or someone else's rights. We will tell you promptly about any such claim and let you control its defense, but we will not be bound by any settlement you make without our consent.

14. Termination

• By you. You can stop using BasicCRM at any time. A workspace owner can delete the workspace from Settings, and you can ask us to delete your account by emailing support@basiccrm.io.
• By us. We may suspend or end your access if you seriously or repeatedly break these terms, fail to pay, or if we must do so to comply with law or protect the Service or others. We may also stop offering the Service entirely; if we do, we will give you at least 30 days' notice and a chance to export your data.
• After termination. Your right to use the Service ends. We delete Customer Data as described in our Privacy Policy. Sections that by their nature should continue (including Your data, Our intellectual property, No warranty, Limitation of liability, Indemnity, and Governing law) will still apply.

15. Changes to these terms

We may update these terms from time to time. We will post the new version at https://basiccrm.io/terms with a new effective date. If a change is significant, we will give you notice in the product or by email at least 30 days before it takes effect. If you keep using the Service after the change takes effect, you accept the updated terms. If you do not agree, you can cancel before then.

16. Notices

We may send notices to the email address on your account or show them in the product. Send legal notices to us at david@spottsco.com, with a copy to support@basiccrm.io.

17. Governing law and disputes

These terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Any dispute relating to these terms or the Service will be brought only in the state or federal courts located in or for Cleveland County, Oklahoma, and both parties consent to those courts' jurisdiction, except where the law requires otherwise. Before filing a claim, please contact us at support@basiccrm.io so we can try to resolve it informally.

18. General

• These terms, together with the Privacy Policy, are the entire agreement between you and Spottsco about the Service.
• If any part of these terms is found unenforceable, the rest stays in effect.
• If we do not enforce a provision right away, we have not waived it.
• You may not transfer these terms without our written consent. We may transfer them as part of a merger, acquisition, or sale of assets.
• Neither of us is responsible for delays caused by events beyond reasonable control, such as outages at our providers, natural disasters, or acts of government.
